The Mission of the Legal Counsel
The Legal Counsel will play a key role in managing and supporting the company’s general corporate and compliance activities across our global operations.

This includes sovereign and turnkey ISR missions leveraging ICEYE’s world-leading synthetic aperture radar (SAR) satellite technology, as well as access to data from the world’s largest SAR satellite constellation. These capabilities enable partners to detect and respond to critical changes anywhere on Earth with unprecedented speed and accuracy – day or night and in any weather, supported by ultra high-resolution imagery and high-frequency revisits.

What Is the Role?
We are seeking a skilled and pragmatic Legal Counsel to join our growing Legal team.
The Legal Counsel will play a key role in managing and supporting the company’s head-office corporate and compliance activities across our global operations. This position requires a hands-on legal professional with a solid understanding of corporate governance, employment law, compliance frameworks, and risk management within an international business environment.

Expected Outcomes & Requirements

Corporate Governance:
- Support the company’s corporate governance framework, including maintenance of subsidiaries, board and shareholder documentation, and regulatory filings.
- Advise management and the board on governance requirements under Finnish and applicable international laws.
- Coordinate with external counsel for corporate registrations, filings, and notarial matters globally.
- Support and administer group subsidiary management
Employment Law & HR Support
- Provide legal support on employment-related matters, including drafting and reviewing employment agreements, managing terminations, and advising on HR policies and procedures.
- Support compliance with Finnish employment law and coordinate cross-border employment issues in collaboration with HR.
- Advise on employee relations and disciplinary matters, balancing legal compliance with organizational culture.
Compliance & Ethics Program
- Assist in developing, implementing, and maintaining the company’s compliance and ethics program.
- Support the creation and delivery of compliance training and awareness initiatives for employees.
- Monitor changes in laws and regulations relevant to the company’s operations and recommend compliance measures.
- Manage investigations into potential compliance issues in cooperation with relevant stakeholders.
Contract Management
- Oversee and maintain contract templates for various business needs, ensuring consistency, compliance, and commercial practicality.
- Provide legal advice on contract negotiation and drafting, including NDAs, service agreements, vendor contracts, and other commercial arrangements.
- Develop internal guidelines and best practices for contract review and approval processes.
Equity & Incentive Programs
- Support the administration and documentation of the company’s equity incentive and employee share programs.
- Liaise with Finance, HR, and external advisors to ensure compliance with applicable tax and securities regulations.
Risk Management
- Identify, assess, and help mitigate legal and business risks across corporate functions.
- Collaborate with internal stakeholders to develop policies and frameworks for risk mitigation.
- Support insurance and liability management programs.
General Corporate Legal Support
- Provide legal input for strategic corporate initiatives, restructurings, and financing transactions.
- Support due diligence, M&A, and other strategic projects as needed.
- Assist in developing internal legal policies, processes, and knowledge management tools.
- Master’s degree in Law (LL.M. or equivalent) and qualification to practice law in Finland.
- ~ 5-7 years of experience in corporate or commercial law, ideally in a multinational company or leading law firm.
- Strong understanding of Finnish corporate and employment law; experience with international legal issues is a plus.
- Demonstrated ability to manage multiple projects and stakeholders effectively.
- Excellent written and verbal communication skills in English (Finnish language proficiency is an advantage).
- High integrity, discretion, and sound judgment in handling confidential matters.
